Terms of Service

These Terms of Service ("Terms") govern your access to and use of EverSparc's platform, website, and services. By creating an account or using EverSparc, you agree to these Terms.

1. Account Registration

To use EverSparc, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

2. Acceptable Use

You agree to use EverSparc only for lawful business purposes. You may not:

• Use the platform for any illegal or unauthorized purpose
• Attempt to access other users' accounts or data
• Interfere with or disrupt the platform's infrastructure
• Reverse engineer, decompile, or disassemble any part of the service
• Use the platform to send unsolicited communications (spam)
• Upload malicious code or content that could harm other users

3. Subscription and Billing

EverSparc offers monthly and annual subscription plans. Prices are listed on our Pricing page and are subject to change with 30 days' notice. Subscriptions renew automatically unless cancelled. All fees are non-refundable except as required by law or as described in our refund policy.

Annual plans are billed upfront for the full year. Monthly plans are billed on the same date each month. If your payment fails, we will attempt to charge your payment method up to 3 times over 10 days before suspending your account.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial, you must select a paid plan to continue using the platform. Your data is preserved for 30 days after trial expiration.

5. Your Data

You retain ownership of all data you upload to EverSparc. We do not claim any intellectual property rights over your content. You grant us a limited license to host, display, and process your data solely to provide the service.

You can export your data at any time in standard formats (CSV, PDF). Upon account cancellation, your data remains available for export for 30 days.

6. Service Availability

We strive to maintain 99.9% uptime for the EverSparc platform. However, we do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our control (internet outages, third-party service failures, force majeure).

7. Limitation of Liability

To the maximum extent permitted by law, EverSparc's total liability for any claims arising from your use of the platform is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

8. Indemnification

You agree to indemnify and hold EverSparc harmless from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

9. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that harms other users or the platform. Upon termination, your right to use the platform ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware.
